A New Radio Performance Royalty 'Tax' Battle Looming?
Is there a new attempt to impose performance royalties for airing recorded music on broadcast radio? A North Carolina Democrat Congressman says he thinks there should be. Rep. Mel Watt says he will introduce legislation that would establish -- as it has in the past -- what the NAB calls a "performance tax" that "would negatively impact local radio stations across America." Although the legislation has yet to be introduced, or gain any major support, NAB EVP of Communications Dennis Wharton has quickly issued a statement on behalf of the broadcasters association. "NAB strongly opposes a new performance tax that would kill jobs at America's hometown radio stations while diverting millions of dollars to offshore record labels. We continue to support private, company-by-company negotiations that are driven by the free market, as is reflected by recent deals between broadcast radio stations and independent music labels. We appreciate the support of 154 members of Congress who know that local radio remains the premiere platform for exposing new music and generating sales for record labels." So far at least, there seems to be more congressional support for the non-binding resolution known as the "Local Radio Freedom Act" which opposes any performance royalties for over-the-air radio stations. Reps. Michael Conaway (R-TX) and Gene Green (D-TX) introduced the LRFA in the House of Representatives on February 15, along with 71 additional co-sponsors. An identical resolution was introduced in the Senate on March 6 by Sens. John Barrasso (R-WY) and Heidi Heitkamp (D-ND). The Local Radio Freedom Act says, "Congress should not impose any new performance fee, tax, royalty, or other charge relating to the public performance of sound recordings on a local radio station for broadcasting sound recordings over-the-air, or on any business for such public performance of sound recordings." SiriusXM Reports Record Q2 Revenue of $940M, Up 12% from 2012
SiriusXM reports record second quarter 2013 revenue of $940 million, up 12% from Q2 2012 revenue of $838 million. Net income for the second quarter 2013 and 2012 was $126 million and $3.1 billion, respectively. Net income in the second quarter of 2012 benefitted from a $3 billion reversal of deferred income tax valuation allowances. Income before income taxes rose 47% to $202 million in the second quarter compared to $138 million in the second quarter of 2012. Adjusted EBITDA for the second quarter of 2013 reached a record $283 million, up 19% from $237 million in the year ago period. "SiriusXM's second quarter results reflect record performance on almost every vital metric: the 25 million subscriber milestone, record revenue, adjusted EBITDA and adjusted EBITDA margin. We grew our revenue at double digit rates for the sixth consecutive quarter while being very mindful of our costs as we invest in advanced IP and telematics platforms designed to provide more services to our subscribers and automakers," says SiriusXM CEO Jim Meyer. "Our increase in adjusted EBITDA guidance speaks to our excellent first half performance as well as our outlook for further growth later this year. SiriusXM has now purchased 391 million shares of its common stock so far this year for nearly $1.3 billion, and we plan to continue using our growing free cash flow and strong balance sheet in a very disciplined way to reward our investors," adds Meyer. Adjusted EBITDA climbed 19% from last year's second quarter to a record quarterly figure of $283 million, and a record adjusted EBITDA margin of 30%.
Clear Channel Signs Revenue Sharing Deal with Innovative Leisure
Clear Channel Media and Entertainment and indie music label Innovative Leisure announce an agreement that will enable Innovative Leisure's artists to share in broadcast and digital revenue. The label's artists - including Hanni el Khatib, Rhye, Classixx, Nosaj Thing and others - will receive a share of revenue for airplay on Clear Channel radio stations as well as the iHeartRadio digital radio platform. Los Angeles-based Innovative Leisure launched less than three years ago. "Jamie Strong, Hanni and I started this label to help cultivate artists that we feel passionately about, without confining ourselves to any specific genre," says Nate Nelson, co-founder of Innovative Leisure. "Clear Channel's reach and connection to music listeners will help bring our artists' music to millions of potential new fans."
Radio One: Katz Terminating Their National Sales Deal
Radio One says Katz is terminating its representation of them for national advertising sales. In a form 8-K filed with the SEC, Radio One says, "On July 22, 2013, Radio One, Inc., together with certain of its operating subsidiaries received notice from Katz Communications and various of its divisions and affiliates that Katz was terminating its national sales representation of the Company effective 14 months from the date of the notice, as provided under the terms of various representation agreements and a master representation agreement." The filing adds, "While the termination notice would provide for a termination of the relationship between Radio One and Katz effective September 23, 2014, the parties are in continued negotiation with respect to a new sales representation agreement. While the Company cannot guarantee that an agreement will be reached with respect to continued sales representation by Katz, Radio One anticipates completing a new sales representation agreement with Katz or another sales representative prior to the Effective Termination Date and does not anticipate any interruption with respect to national sales representation." FCC Commissioner Ajit Pai Continues Support of Radio
FCC Commissioner Ajit Pai continues to demonstrate that he's a friend of radio. And that he remains concerned about the future of the AM band. Wednesday, Pai visited historic KDKA-AM, Pittsburgh, using the occasion to address his interest and concerns. Pai spoke of the historical importance of KDKA-AM, which dates back to 1920, as well as the history of Pittsburgh's radio stations. "The AM band is facing significant challenges. Every day it gets harder to pick up a clear AM signal. The percentage of listening done on the AM dial has sharply declined, especially among the young. That's why I have called for the FCC to launch an AM Radio Revitalization Initiative," said Pai. "We need to comprehensively review our AM radio rules and explore proposals for improving the band. Over the course of the last ten months, I've heard great ideas from broadcasters across the country, and now is the time to take action. In recent weeks, I have had very productive discussions with FCC Chairwoman Mignon Clyburn about AM radio. She is a friend to broadcasters, and I am hopeful that we will see progress in the coming months." Pai noted, "In every field, it's important for the FCC to make sure that our regulations keep up with the times. But especially when it comes to radio, we're overdue for an overhaul." He gave an example of the FCC's "Contest Rule," which requires broadcasters to "give notice of all the nuts and bolts of any contest they run in periodic over-the-air-announcements. These announcements, needless to say, aren't the most compelling content in the world, and they can lead listeners to turn the dial. Maybe this once made sense. But not in today's point-and-click world, where listeners would rather go to a webpage to read the contest rules if they want to read them at all. That's exactly what broadcasters proposed as a replacement last year, and no one opposed this common-sense proposal. It's time for the FCC to take action on this issue and others like it."
Univision (Finally) Officially Announces Exit of Eddie 'Piolin' Sotelo
After several days of silence, Univision Radio today officially announced that Eddie "Piolin" Sotelo -- the longtime host of Univision's morning show "Piolin por la Manana" -- has exited the company. "After a ten-year run, Sotelo and Univision have agreed to part company," says Univision Radio in a news release. As previously reported, Sotelo broadcast his final show on Monday. Sotelo's program had grown to over 50 affiliates. "It's been a great run with Univision," said Sotelo, who was recently elected to the National Radio Hall of Fame. "We thank Eddie for the contributions that he has made while at Univision Radio," says Univision Radio President Jose Valle. There's still no explanation of the abrupt exit of "Piolin" which came so quickly and suddenly that Univision Radio had no replacement to offer and has been filling the morning show time slot with unhosted music. Rumors, though, are rampant that Sotelo will soon announce plans to offer a self-syndicated show, and is currently having studios prepared. Some reports say Univision found out about that planned move and decided to abruptly pull the show Monday afternoon. At least two credible sources are suggesting Sotelo could be ready to start broadcasting on his own network of stations within two weeks. Meanwhile, Univision still is silent on its plans to replace "Piolin por la Manana," although the company has told its own stations that aired the show they can't reclaim the time slot for local programming. Affiliates not owned by Univision may bail according to some reports out of Los Angeles. Clear Channel Names Kevin Mackall SVP of Visual Branding
Clear Channel Media and Entertainment tells us that longtime MTV exec Kevin Mackall is joining CCME as SVP of Visual Branding, reporting to Tom Poleman, President of National Programming Platforms. The appointment is effective immediately. In his new position, Mackall will oversee the Visual Branding Department, a new segment of the National Programming Platforms division which will focus on visual branding for CCME, local radio stations and iHeartRadio. Mackall will manage the company's visual branding production including station logos, television commercials, outdoor campaigns and brand packages for Clear Channel events such as the iHeartRadio Music Festival, iHeartRadio Album Release Parties and the iHeartRadio Ultimate Pool Party. We're told that Mackall will also work closely with John Sykes, President of Entertainment Enterprises for Clear Channel, on creative support for all Clear Channel television programming and properties as well as original video content. "Kevin has been our secret weapon behind the visual packages for our marquee events like the iHeartRadio Music Festival as well as groundbreaking projects like our national country and top 40 television spots," says Poleman. "By having him on the team full-time, I'm excited that we'll now be able to spread his creative expertise more deeply through Clear Channel Media and Entertainment, including station branding, iHeartRadio Theater productions and logo projects." Greater Media announces that longtime morning personalities Bob and Sheri have signed "a multi-year deal" with their flagship station Hot AC "107.9 The Link" WLNK-FM, Charlotte, from which the show is also syndicated. We're not told the exact length of that "multi-year deal." Bob Lacey and Sheri Lynch joined the station in February 1992, and are now syndicated on 42 stations across the country, as well as on the American Forces Network. "Bob and Sheri are truly one of the best morning shows in the country," says Greater Media Charlotte VP and Market Manager Rick Feinblatt. "We look forward to having them entertain our valued Charlotte listeners for years to come." Their show airs on "The Link" 6-9am. CRN Digital Talk Radio Signs with iHeartRadio Talk

Clear Channel Introduces 'iHeartRadio Talk'
Clear Channel Media and Entertainment today announced the beta launch of a new iHeartRadio custom feature, iHeartRadio Talk – the first mass-market audio platform with the ability to offer on-demand listener-created talk content alongside popular news, celebrity and entertainment “audiosodes.” iHeartRadio Talk will also feature “Daily Pulse,” a customizable Talk channel featuring the most up-to-date news and culture highlights, which allows users to add content that is most important to them. SiriusXM President Scott Greenstein Extends Employment Deal
SiriuxXM President and Chief Content Officer Scott Greenstein has signed a new employment agreement, extending his service to the company until at least 2016. Under the new agreement, Greenstein will continue to earn $1.25 million in base salary, and will have the opportunity to earn up to $1.88 million in additional bonus money. Greenstein is also being given $6.5 million in stock options as well as $1 million in restricted stock. The new contract is similar to his existing deal except that it no longer includes a "golden parachute" excise tax gross-up. Instead, if Greenstein is terminated before 2016, he could be eligible for a lump sum severance payment that's equal to his base salary plus the last bonus paid to him, according to the company's latest SEC filing. Greenstein, who once worked at Miramax, has been credited with bringing Howard Stern to the satellite radio service. Greg Batusic Named Courtside Entertainment Group COO
Former Westwood One President of Entertainment Greg Batusic, reuniting with Westwood One founder Norm Pattiz, joins Courtside Entertainment Group in the newly-created position of Chief Operating Officer for the company. Based in Los Angeles, Batusic will report directly to Pattiz, while overseeing the day-to-day operations of Courtside Entertainment Group and Launchpad Digital Media & PodcastOne. "In the early years of Westwood One, Greg helped lead the way to the multi-billion dollar network radio business," says Pattiz. "Now, while we do the same thing to on-demand audio, Greg's expertise and leadership will be invaluable. He knows what it takes to build a company and an industry from the ground up and I'm happy to be working together again." Batusic adds, "It's my great pleasure to be working with Norm again. Organizers of the Radio Show, jointly produced by the NAB and the RAB, announce that FCC Acting Chairwoman Mignon Clyburn will give keynote remarks to Radio Show attendees on September 18, following opening remarks by NAB President and CEO Gordon Smith and RAB President and CEO Erica Farber. The opening keynote is sponsored by vCreative. The Radio Show will be held September 18-20 in Orlando. Clyburn has served on the Commission since 2009. She became acting chairwoman following her appointment by President Barack Obama on May 20, following the exit of Chairman Julius Genachowski. In her two terms at the FCC, Clyburn (D) has been, says the Radio Show news release, "a strong advocate for enhanced accessibility in communications for disabled citizens. She has fought to promote strong competition across all communications platforms and media ownership that reflects the demographics of America. Clyburn has a long history of public service, having served for 11 years on the Public Service Commission (PSC) of South Carolina before joining the FCC. Prior to her service on the PSC, Clyburn was the publisher and general manager of The Coastal Times, a Charleston-based weekly newspaper that focused primarily on issues affecting the African American community. The show is moving to WFLC-FM from CHR-Top40 "Wild 95.5" WLDI-FM, as Kevin-Virginia-Jason (KVJ) move from West Palm Beach to Miami. As we first reported briefly in our BTM section, "Area 102.9" billed as "New Mexico's Modern Rock" launches in Albuquerque, on FM translator K275AO fed from KARS-AM. American General Media launches the new Alternative featuring music from the 1980s through today, featuring artists such as U2, Police, INXS, Depeche Mode, Sheryl Crow, Coldplay, Dave Matthews Band, Alanis Morissette, Smashing Pumpkins, The Killers, Red Hot Chili Peppers and Green Day. The station launches with 10,000 songs in a row, commercial-free. "It's an exciting time in New Mexico where we've just celebrated the 66th anniversary of the Roswell sighting of flying saucers and UFOs, and now, a new music station is being invaded and broadcast to Albuquerque and the galaxy from 102.9 with the new Area 102.9", says Regional Director of Programming Bob Lewis. Market Manager Suzy Rufail adds, "I'm thrilled that we're able to serve the listening audience with a unique blend of music that transcends traditional rock boundaries. Pew Study: Radio Declines As News Source for Hispanic Americans
More Hispanics consume news in English, while a declining share do so in Spanish, and radio is in a decline among them in favor of television, according to a new Pew Research study that looks at how Hispanic Americans get their news. An increasing number of Hispanic adults say they get least some of their news in English -- 82% in 2012. That's up from 78% in 2006. Just half say they get their news in both languages, down from 57%. The percentage of Hispanic adults getting all of their news in English rose from 22% to 32%, while the percentage getting their news entirely in Spanish declined from 22% to 18%. Television is the dominant news source for Latino adults. Some 86% get their news from TV on a typical weekday, outpacing radio at 56%, the Internet (also 56%), or newspapers (42%). Radio news usage dropped from 64% in 2006 to 56% in 2012. Among radio users, 27% get their news from only Spanish-language stations, 41% use only English-language stations, and 32% use both. These changes in news consumption patterns reflect several ongoing demographic trends within the Hispanic community. A growing share of Latino adults speak English proficiently -- 59%, up from 54% in 2006. And as immigration to the U.S. has slowed, the share of Hispanic adults who are foreign born has declined. Today about 51% of Hispanic adults were born in another country, down from 55% in 2006 and 54% in 2000, according to U.S. Census Bureau data. With the slowdown in immigration, the average number of years lived in the U.S. among Latino adult immigrants has grown, from 17 years in 2006 to 20 years in 2011. Also, the number of U.S.-born Latino adults is on the rise. Annually about 800,000 young U.S.-born Latinos enter adulthood. Many are the children of immigrants, and a significant share are third or higher generation. These groups are much more English proficient than are immigrants. Even though the share of Hispanic adults who consume news media in Spanish has declined, the number of potential Spanish news media consumers is growing as a result of the rapid overall rise in the number of Hispanics in the U.S. Renda Broadcasting Gets More Time to Answer Arbitron Lawsuit
Renda Broadcasting has been granted an extension of time to reply to Arbitron's lawsuit alleging unauthorized use of ratings data for the Jacksonville market. Renda Broadcasting had until July 23 to respond to Arbitron’s infringement lawsuit, on which we reported last month. Renda, though, told the Florida court that its original legal counsel couldn't take the case because of a possible conflict of interest, and it needs more time to obtain new counsel. An extension was granted to August 23. Renda assured the court in a written motion that the extension request was "made in good faith and not for the purposes of delay." Arbitron agreed to the one-time extension. On June 24, we reported that "Arbitron is suing Renda Broadcasting for copyright infringement. In the suit filed in U.S. District Court in Florida, Arbitron claims that Renda used Jacksonville ratings without paying for them -- that Renda's contract to use the data expired in December 2010, but that between May 2011 and at least December 2012, Renda 'illicitly obtained' copies of the Jacksonville ratings from an unnamed advertising agency. The suit says a senior exec of the ad agency 'was a long time friend and business associate of Bill Reese' - Renda's Jacksonville General Manager." AURN and Entravision Solutions Form Joint Sales Agreement
American Urban Radio Networks (AURN) and Entravision Solutions, a national Spanish-language media sales and marketing firm, announce a joint sales agreement with the introduction of the Vida*Urbana Radio Network (VURN), which, we're told, combines AURN's 300 Urban affiliates with over 300 of Entravision's Spanish-language radio stations, along with the respective companies' web platforms. According to the joint announcement, "The deal forms the largest multi-cultural, multi-media platform reaching both the African American and Latino audiences in the U.S." The sales organizations from both companies will also collaborate to develop new business opportunities among radio and non-radio advertisers for VURN, under the agreement. "With minorities representing 35% of the country's total population and African Americans and Hispanics accounting for 82% of all minorities, it is imperative that we educate the advertising community about the importance of reaching the African American and Latino communities," says AURN President of Network Sales Howard Eisen. "Through this partnership, we will increase our presence in the marketplace and provide the advertising and marketing community with new opportunities for reaching this growing diverse audience." Entravision Chairman/CEO Walter Ulloa tells us, "Our partnership with American Urban Radio Networks reflects our commitment to further strengthen our growing sales and marketing platforms. Wells Fargo Analyst Marci Ryvicker: 'Radio Is Doing Quite Well'
Wells Fargo Analyst Marci Ryvicker says, "Radio is doing quite well." In her new Equity Research Newsletter to clients, Ryvicker writes, "While not all radio groups are created equal, we were surprised at the number of execs who sound pretty good regarding trends -- with Q2 up low single digits (LSD), and Q3 ahead of that (but starting to fade)." Headlined "Media: Checks Suggest Local Ad Is Quite Healthy," the newsletter covers Radio, TV and Outdoor advertising research. She adds that some of the forward-looking gain on Q3, though, is "starting to fade." Ryvicker is essentially upbeat, writing she "had the opportunity to decipher revenue trends across traditional media and [we] have concluded that the second quarter may have been lumpy, but at the end of the day, trends ended up -- relatively okay -- as a result, we left our core growth estimates relatively unchanged."

Broadcasters Launch Campaign to Educate Public on Mental Health New Survey Highlights Need for 'OK2Talk' PSAs, Debuting This Week
A new survey from the NAB reveals that two-thirds of young adults have personal experience with mental health problems. Although the overwhelming majority of parents and young adults are supportive of discussing mental illness more openly, more than one-fourth of young adults (28 percent) and one in six parents (16 percent) admit they avoid talking about it. To encourage these critical conversations and let people know that help is available and effective, NAB today unveiled a new public service announcement (PSA) campaign featuring teens and young adults opening up about their experiences with mental illness. The "OK2Talk" campaign includes television and radio ads in English and Spanish, and uses social media to invite teens and young adults to create the conversation about mental health. "With unrivaled reach into homes across America, broadcasters have a powerful platform to encourage young people to start talking about mental health and get the help they need," says NAB President and CEO Gordon Smith. We're told that Smith's own family has been profoundly affected by mental illness. His 22-year-old son, Garrett, took his own life in 2003, after a long struggle with depression. He and his wife, Sharon, hope that encouraging conversation about mental illness helps keep other families from meeting the same fate: "I believe that had we known better the signs of suicidal tendency, and sought help and treatment earlier for Garrett, our son would still be alive today."
Larry Wilson's L&L Broadcasting Continues Growing
L&L Broadcasting has agreed to purchase Gospel "Joy 100.1" WSSJ-FM, Savannah (licensed to Rincon, Georgia), which is currently in receivership. The price for the station is $1.55 million. Says L&L CEO Larry Wilson, “WSSJ is an exciting addition to our cluster in Savannah and will be an excellent complement to our existing brands. The more we experience the vibrant business community and quality of life existing in Savannah and Hilton Head, the more excited we are to operate our Live and Local brand of radio serving these two markets.” L&L already has a cluster of six stations in Savannah -- Classic Hits "Big 98.3" WGCO-FM, Classic Hits “103.1 The Drive" WGZO-FM, "Rock 106.1" WFXH-FM, Country "Bob 106.9" WUBB-FM, Adult Top 40 "Y107.9" WXYY-FM, and Soft AC "1130 The Island" WHHW-AM with an FM translator. WSSJ-FM will join that cluster. WSSJ-FM has been operated by receiver Scott Savage.
Wilkes-Barre 'Mountain' to Become 'The Sports Hub'
Entercom Classic Adult Alternative Rock "102.3 The Mountain" WDMT-FM, Pittston, Pennsylvania (Wilkes-Barre market), will flip to Sports Talk as "The Sports Hub" on August 5. This will give the market its third Sports Talk station (although the other two are each heard on multiple signals). The new format on WDMT-FM will feature mostly programming from the NBC Sports Radio network, with a thre-hour local afternoon show that's still to be announced. WDMT-FM already is the flagship station of the AHL's Wilkes-Barre/Scranton Penguins. "The Mountain" WDMT-FM has aired a format that some call Adult Album Alternative while others classify as Classic Rock. Its format has been atypical of both descriptions, airing "Mountain Sets" with three or four songs with a common thread played back to back. The songs either share a word or phrase in common, or are by the same artist, but may also be related in other ways. The station plays many B-side tracks as well as music from local artists. Show hosts are referred to as "Mountain Guides" who often give background on a musician or song. But the format hasn't proven lucrative to Entercom, according to Wilkes-Barre General Manager Ryan Flynn. “We haven’t been able to capitalize on The Mountain from a sales perspective. It’s done OK from a ratings standpoint, and we have a dedicated core of listeners, but we haven’t been able to monetize that.” Flynn says "The Mountain" programming will continue on sister WKRZ-FM's HD2 multicast channel and will be streamed on the Internet. CBS Radio Alternative KROQ-FM, Los Angeles afternoon host Stryker is named the new host of "Out Of Order" beginning the weekend of August 3-4. Stryker replaces Jed The Fish on the weekly two-hour countdown (?) of the Top 20 Alternative songs, distributed by Compass Media Networks and produced by Dial Global. But can it really be called a "countdown" if the songs air out of order? Nevertheless, Stryker tells us, "Listening to Out Of Order over the years was always part of my routine. Getting this opportunity to play and talk to my favorite bands on the show every week and do it in the Out Of Order countdown style is beyond exciting." Stryker's debut on "Out Of Order" will feature a rare in-person interview with Daft Punk, whose "Get Lucky" is currently one of the most popular songs in the world. It's believed this is a permanent cancellation of "Piolin Por La Manana" -- but Univision Radio is not offering any explanation for the sudden removal of the show ... Programming and consulting veteran Rob Scorpio is named Operations Manager and Program Director at Rhythmic CHR KGGI-FM, Riverside-San Bernardino, California. Scorpio's resume includes PD gigs in Houston, Los Angeles and Washington DC. He replaces Jesse Duran who previously exited for a position at crosstown Classic Hits "Kola 99.9" KOLA-FM. Also at KGGI-FM, Jeff Pope exits as morning co-host. Co-host Evelyn Erives is now teamed with Johnny Magic on an interim basis, but Scorpio is expected to announce a new morning show soon ... TalkMedia.TV launches the new "My Talker 106.7" at WMYT-FM, in Wilmington, North Carolina. TalkMedia.TV was formed in February by Curtis Wright and George Bell. Bryant previously was heard in Chicago on WLIT-FM (when it was still AC "Lite FM") as co-host to Whoopi Goldberg on her short-lived syndicated morning show. Announcing his show's addition to the Chicago Hot AC, Bryant posted on Facebook, "I'm happy to announce that you can check me out on 93.9 My FM in Chicago from 6am-10am! I hope the White Sox fans will be nice to a 'Cubby'." The Chicago station quietly debuted the show this morning (July 22), with no formal announcement. However "Cubby" (weekdays 6-10am) has been added to the station's website. No further information about the host is offered to Chicago listeners. That makes three on-air hosts, along with the locally-based Brooke Hunter in middays and the syndicated Mario Lopez in evenings (7-11pm), piped in from Los Angeles. Afternoons remain vacant.

"Breakout pop artists Robin Thicke, Jason Derulo and Sammy Adams have been named as the main acts of the inaugural Summer Pool Fiesta (SPF) concert powered by Radio.com at The Cosmopolitan of Las Vegas on Saturday, August 17," says the announcement from CBS Radio. "With the Las Vegas Strip as the background, the luxury resort’s Boulevard pool will play host to the star-studded event. Fans can watch a live broadcast of SPF streaming on Radio.com and YouTube" beginning at 8pm PT. Is this CBS Radio's attempt at a competitor for Clear Channel's iHeartRadio Music Festival?
Kevin McCullough to Join WMCA-AM/New York for Mornings
Salem Christian Talk WMCA-AM, New York, will add a local talk show hosted by industry veteran Kevin McCullough, starting August 5. The new show will mark a return to WMCA-FM for McCullough. "Kevin has proven to be one of the true up-and-coming voices in Christian talk radio and we are delighted he will be able to join our team," says Salem VP/Director of Spoken Word Format Phil Boyce. "His afternoon program will be live and local, tackling issues of concern going on locally and in the world with a Christian world view." Delmarva Public Radio (DPR) names public radio veteran Dana Whitehair as General Manager for "NPR News Talk 90.7" WSDL-FM and "Classical 89.5" WSCL-FM, Salisbury-Ocean City. His public radio experience spans three decades, highlighted by 17 years at KUT-FM, Austin. "We are pleased that a public radio veteran with a strong background in such areas as technology, classical music, education and community engagement will be leading Delmarva Public Radio," says Provost/SVP of Academic Affairs Dr. Diane Allen. "He provides experience and knowledge of the issues confronting radio nationally, as well as first-hand exposure to best practices at some of the country’s most highly regarded stations. DPR is moving into a new facility as the stations are transferred from a private foundation to Salisbury University. Arbitron Settles Investor Challenge to $1.3B Nielsen Deal
Arbitron and an investor who sued over the company's proposed $1.3 billion buyout by Nielsen Holdings have asked a Delaware judge to approve settlement terms that would remove what the investor claims were roadblocks to a more lucrative sale. Law360.com reports that under the agreement, "Arbitron would suspend so-called don't ask-don't waive provisions -- deal-protection clauses that prevent suitors who signed confidentiality agreements related to auctions from coming in later with a higher offer -- for several agreements related to the merger, according to the settlement stipulation." Shareholder Joseph Pace filed the suit in January, claiming that a breakup fee and other terms of the deal prevent any competing offers to buy the company. Pace had asked the court to stop Arbitron from closing the deal with Nielsen, until the company adopted procedures that will "obtain the highest possible price for shareholders." Under the deal filed in Delaware Chancery Court, Arbitron also will make additional public disclosures about the buyout and its financial adviser's relationship with Netherlands-based Nielsen. Arbitron and the directors admit no wrongdoing or violations as a result of the settlement but would acknowledge that the disclosure changes were prompted by the lawsuit, according to the stipulation of settlement. In return, Pace's class action against Arbitron and several of its directors would be dismissed with prejudice. “Plaintiff’s counsel believes the terms of the settlement contained herein are fair and adequate to both the company and its shareholders and that it is reasonable to finalize a settlement of the action," says the motion. "Notwithstanding their belief that the allegations are wholly without merit, in order to eliminate the burden and expense of further litigation, defendants have concluded it is desirable that the claims against them be settled." Jeff Smulyan Among 11 'Giants Of Broadcasting' for 2013
Emmis Communications Chairman, President and CEO Jeff Smulyan is among 11 entertainment industry figures who will be honored as "Giants Of Broadcasting" in its 11th annual staging, sponsored by the Library of American Broadcasting, scheduled for October 16 in New York. The 11 distinguished professionals will be recognized for excellence in the electronic communication arts, joining 159 previously honored by the Library. The other honorees this year include Anne Sweeney, Alex Trebek, Barry Diller, Morley Safer, Dick Cavett, Robert Johnson, David Kelley, (former FCC Chairman) Richard Wiley, Richard Leibner and Carole Cooper. After operating two radio stations in Indianapolis and Omaha, Smulyan formed and became principal shareholder of Emmis in 1980. The company currently owns and operates 20 FM and two AM radio stations in the nation's largest markets, as well as six local, regional and national magazine operations, plus radio stations in Slovakia and Bulgaria. In 1995, Emmis became the first company to own top-rated stations in New York and Los Angeles simultaneously. A former director of the NAB and former Chairman of the Board of Directors of the RAB, Smulyan has served as chair of the Central Indiana Corporate Partnership, a consortium of CEOs from central Indiana's largest corporations. He's a member of numerous civic boards and committees. In 2000, Smulyan was honored with the NAB's National Radio Award.
